NOTICE REGARDING DISPUTE RESOLUTION: These Official Rules contain terms that govern how claims between you and Sponsor (Taco Bell Corp.), relating to your participation this Giveaway, will be resolved. For example, Section 9 includes an arbitration agreement and waiver of a class action that requires you to submit all claims to arbitration (instead of going to court before a judge and jury) and limits your ability to bring claims only in an individual capacity (and not as part of or on behalf of any a class action or purported collective or representative claim or proceeding). Please read these provisions carefully as they affect your legal rights. You acknowledge that you have read and agree to be bound by these Official Rules.

GIVEAWAY PERIOD: The Taco Bell® Decades Giveaway (the “Giveaway”) begins at 9:00 a.m. Pacific Time ("PT") on October 31, 2024, and ends at 11:59 p.m. PT on December 9, 2024 ("Giveaway Period"). The Giveaway Period consists of five (5) weekly entry periods (each a “Weekly Entry Period”). Each Weekly Entry Period will start at 12:00 a.m. PT on Tuesday and end at 11:59 p.m. PT the following Monday of the Giveaway Period, with the exception of the first Weekly Entry Period which will begin at 9:00 a.m. PT on Thursday, October 31, 2024, and will end at 11:59 p.m. PT on Monday, November 11, 2024. See chart in Rule #4 below for details.

ELIGIBILITY: The Giveaway is open only to legal U.S. residents who, at the time of entry, reside in the fifty (50) U.S./D.C. (the “Eligibility Area”) and are registered Taco Bell® Rewards program members in good standing (each an “Eligible Member”), eighteen (18) years of age or older, and the age of majority in their state/jurisdiction of residence [which is nineteen (19) in Alabama/Nebraska, twenty-one (21) in Mississippi] (each an “Entrant”). Employees, officers, directors of Taco Bell Corp. (“Sponsor”), Don Jagoda Associates, Inc. (“Administrator”), and each of their respective parent companies, affiliates, subsidiaries, retailers, advertising and promotion agencies and judging organizations (collectively with Sponsor and Administrator, the “Promotion Parties”), as well as their immediate family members (spouses, parents, children and siblings) and/or persons living under the same household are not eligible to enter. This Giveaway is subject to federal, state and local laws and regulations. Void outside the Eligibility Area and where prohibited. By entering, Entrants agree to comply with these Official Rules, including, without limitation, all eligibility requirements. Sponsor/Administrators’ decisions are final with respect to all matters relating to the Giveaway. By participating, Entrants agree to the decisions of the Sponsor/Administrator, which shall be final and binding in all respects.

HOW TO ENTER: During the Giveaway Period, scan the Quick Response (“QR”) code found on specially-marked Taco Bell Decades promotional cups at participating Taco Bell locations (while supplies last) or visit http://www.tacobell.com and download the Taco Bell mobile app at either the Apple® App Store or the Google® Play store to your web-enabled mobile device to create a Taco Bell Rewards program account (if you do not already have one). There is no fee to download the Taco Bell mobile app and establishing a Taco Bell Rewards program account is free (subject to terms and conditions at https://www.tacobell.com/legal/terms-of-use#loyalty). Once signed in to your Taco Bell Rewards program account from the Taco Bell mobile app, follow the instructions on the Home screen to take the Decades quiz “Quiz”). After completing the Quiz, select “YES” if you wish to enter the Giveaway and earn one (1) entry into that Weekly Entry Period’s random drawing, and one (1) entry into the Grand Prize random drawing (“Entry”). If you leave the screen prior to entering the Giveaway, you will need to start over at the beginning of the Quiz. You may complete the Quiz as many times as you wish, but there is a limit of one (1) Entry per Eligible Member per Weekly Entry Period. Entrants are not permitted to share the same email address or Taco Bell Rewards program account. Any attempt by an Entrant to obtain more than the stated number of entries by using multiple/different email addresses, identities, registrations or logins, or any other methods will void that Entrant’s entries, and that Entrant may be disqualified from the Giveaway. Any use of robotic, repetitive, automatic, programmed, or similar entry methods will void all entries submitted by the Entrant. Receipt of Entry may be acknowledged, but such acknowledgment does not constitute any representation as to eligibility. Entries are subject to verification by Sponsor or Administrator.

By entering, the Entrant agrees fully and unconditionally to these Official Rules and Sponsor’s decisions thereunder, which are final and binding in all matters related to the Giveaway. Entrants may be required to show proof of being the authorized account holder of the email address account associated with the Taco Bell Rewards program account. If there is a dispute as to the identity of an Entrant, the Entrant will be deemed the authorized account holder of the email address associated with the Taco Bell Rewards program account used at the time of Entry. “Authorized account holder” of an email address account is defined as the person who manages the e-mail address associated with the account. Any Entry not in compliance with the above and which does not meet the other requirements of these Official Rules may be disqualified as determined by Sponsor in its sole discretion. As applicable, normal Internet/phone access and usage/data charges imposed by Entrants’ online/mobile service will apply and are Entrant’s sole responsibility. Entries must be received within the Weekly Entry Period indicated in the chart below to be included in that Weekly Entry Period’s random drawing, and by the end of the Giveaway Period, for the Grand Prize random drawing. Entries received for a Weekly Entry Period’s random drawing do not roll-over for any subsequent Weekly Entry Period’s random drawing(s), but will be included in the Grand Prize random drawing. Entries must be received by 11:59 p.m. on December 9, 2024, to be included in the last Weekly Entry Periods’ random drawing and the Grand Prize random drawing. Limit up to five (5) Entries per Eligible Member (one for each Weekly Entry Period) for the Grand Prize random drawing.

WEEKLY RANDOM DRAWINGS: A separate random drawing will be conducted on or about each Weekly Entry Period Random Drawing date indicated in the chart below, to select the number of Weekly Prize winners indicated for each weekly random drawing. Weekly random drawings will be conducted by the Administrator, an independent judging organization whose decisions are final and binding on all matters related to the drawings. The odds of winning a Weekly Prize depend on the total number of eligible Entries received for each for each Weekly Entry Period. Limit one (1) Weekly Prize per Eligible Member per Weekly Entry Period.

GRAND PRIZE RANDOM DRAWING: Five (5) potential Grand Prize winners will be randomly selected on or about Thursday, December 12, 2024, from among all eligible Entries received throughout the Giveaway Period. Random drawing will be conducted by the Administrator, an independent judging organization whose decisions are final and binding on all matters related to the Giveaway. The odds of winning a Grand Prize depend on the total number of eligible Entries received throughout the Giveaway Period. Limit: one (1) “Decades Collection” Grand Prize, as defined below, per Eligible Member.

WINNER NOTIFICATION: Potential winners will be notified by email, and will be required to complete and submit via email link, a prize redemption claim within three (3) days of Sponsor’s attempted delivery of same. Prizes will be shipped to the mailing address indicated on each winner’s prize redemption claim, within four (4) to six (6) weeks following submission of the prize redemption claim form. Noncompliance within any specified time period or return of any email link/prize as undeliverable, or declining a prize for any reason, will result in disqualification and/or forfeiture of eligibility without further notice. Administrator may select an alternate winner, drawn at random from among all eligible Entries for that prize. A maximum of three (3) attempts will be made by Sponsor to award any given prize. Potential winners must have a valid Taco Bell Rewards program account at the time of prize claim/prize fulfillment. Any prize claimed with an invalid or deactivated Taco Bell Rewards program account will result in disqualification and/or forfeiture of eligibility without further notice.

GRAND PRIZES:

Five (5) Grand Prizes: Each Grand Prize one (1) Limited Edition Decades Hoodie and one (1) Limited Edition Stainless Steel Decades Cup from each of the five (5) Weekly Entry Period’s featured Decades for a total of five (5) Limited Edition Decades Hoodies and five (5) Limited Edition Stainless Steel Decades Cups (collectively the “Decades Collection”). ARV: $385 each.

WEEKLY PRIZES:

One Thousand (1,000) Limited Edition Decades Hoodie Prizes: Each prize consists of one (1) Limited Edition Decades Hoodie with a Decade theme corresponding to the Weekly Entry Period’s featured Decade in the winner’s choice of size, subject to availability and remaining inventory at time of prize selection. ARV: $70 each.

Five Thousand (5,000) Limited Edition Stainless Steel Decades Cup Prizes: Each prize consists of one (1) Limited Edition Stainless Steel Decades Cup with a Decade theme corresponding to the Weekly Entry Period’s featured Decade. ARV: $7 each.

Total ARV of all prizes: $106,925.

Prizes are unique promotional items and ARVs shown are estimates based on quality of merchandise. Sponsor is not responsible for any difference between the ARVs shown and any actual selling price.

Prize Restrictions and Requirements:

No substitutions, cash equivalents, or transfer of prizes permitted except at the sole discretion of the Sponsor, who reserves the right to substitute a prize (or portion thereof) with one of comparable or greater value, except as otherwise provided herein. Sponsor is not responsible for damage to a prize or loss of a prize after the prize has been delivered to a confirmed winner. Prizes are awarded “as-is” and Sponsor makes no warranties, and hereby disclaims any and all warranties, expressed or implied, concerning any prize furnished by third parties in connection with the Giveaway. Any depiction of prizes, in Giveaway materials or otherwise, is for illustrative purposes only. Resale of prizes is prohibited. In no event will more than the stated number of prizes be awarded. Any and all applicable federal, state, and local taxes and all fees and expenses related to acceptance and use of prizes not specifically stated herein are the sole responsibility of each winner. SPONSOR SHALL HAVE NO LIABILITY FOR ANY PERSONAL INJURIES, DEATH, PROPERTY DAMAGE, OR OTHER DAMAGES OR EXPENSES RESULTING FROM OR ARISING OUT OF ANY PRIZE AWARDED TO A WINNER, OR ANY OTHER ASPECT OF A WINNER’S ACCEPTANCE OR USE OF A PRIZE.

GENERAL RULES: By participating in this Giveaway, each Entrant agrees to be bound by these Official Rules and instructions and by all decisions of the Promotion Parties, which are final and legally binding in all matters relating to this Giveaway. By accepting a prize, each winner consents to the use of his/her/their name, image, likeness, photograph, voice, and biographical material for advertising, publicity, and promotional purposes by the Promotion Parties, in any and all media now or hereafter devised, including but not limited to, any online announcements, worldwide in perpetuity, without additional compensation, notification, or permission, except where prohibited by law. By participating, Entrants and winners agree to release, discharge, indemnify and hold harmless the Promotion Parties and their respective parents, affiliates, agents, officers, directors, and employees from and against any claims, damages, or liability due to any damages, or losses or injuries to any person (including death) or property of any kind resulting, in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of a prize or participation in any Giveaway-related activity or participation in this Giveaway. Entrants further agree not to pursue any right, claim or action against the Promotion Parties in connection with their participation in this Giveaway. Sponsor is not responsible for lost, late, or misdirected entries, technical hardware/software failures of any kind, lost/unavailable network connections, or failed/incomplete, garbled or delayed computer transmission, which may limit a user’s ability to participate. Sponsor reserves the right at its sole discretion to disqualify any individual that tampers or attempts to tamper with the entry process or the operation of the Giveaway; violates these Official Rules; or acts in a disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. CAUTION: ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE GIVEAWAY MAY VIOLATE APPLICABLE LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW. Sponsor and its agencies are not responsible for technical, hardware or software malfunctions, telephone failures of any kind, lost or unavailable network connections, or failed, incorrect, inaccurate, incomplete, garbled or delayed electronic communications whether caused by the sender or by any of the equipment or programming associated with or utilized in this Giveaway which may limit the ability of an individual to participate in or accept a prize in the Giveaway, or by any human error which may occur in the processing of the Entries in this Giveaway. Sponsor and its agencies are not responsible for any typographical error in the printing of these Official Rules, administration of the Giveaway, or in the announcement of the prizes. Sponsor and its agencies are not responsible for damages to user’s system occasioned by participating in the Giveaway or downloading any information to participate in the Giveaway. Sponsor reserves the right to modify or cancel any of the portions of the Giveaway if they become technically corrupted. In the event of cancellation, random drawings will be conducted from among all eligible Entries received during each Weekly Entry Period prior to cancellation to select the Weekly Prize winners, followed by a Grand Prize random drawing from among all eligible Entries received overall during the Giveaway Period prior to cancellation to select the Grand Prize winners.

DISPUTE RESOLUTION: By participating in this Giveaway, Entrant and Sponsor agree that disputes that cannot be resolved informally shall be resolved through binding individual arbitration with limited exceptions, in accordance with the terms of Section 3 of the Taco Bell Terms of Use available at https://www.tacobell.com/legal/terms-of-use (the “Terms of Use”). As set forth in the Terms of Use, Entrant and Sponsor agree that the arbitrator may award the same relief available in court provided that such relief (including declaratory or injunctive relief) shall only be in favor of the individual party seeking relief and only to the extent necessary to provide the relief warranted by that party’s individual claim. ENTRANT AND SPONSOR AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN THEIR INDIVIDUAL CAPACITIES AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, REPRESENTATIVE, COLLECTIVE, OR PRIVATE ATTORNEY GENERAL PROCEEDING IN ARBITRATION OR IN LITIGATION. FURTHER, UNLESS THE PARTIES AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE ANY PERSON’S OR ENTITY’S CLAIMS WITH THOSE OF ANOTHER PERSON OR ENTITY AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A CLASS, REPRESENTATIVE, COLLECTIVE, OR PRIVATE ATTORNEY GENERAL PROCEEDING. IF AFTER EXHAUSTION OF ALL APPEALS ANY OF THESE PROHIBITIONS ON NON-INDIVIDUALIZED RELIEF; CLASS, REPRESENTATIVE, COLLECTIVE, AND PRIVATE ATTORNEY GENERAL CLAIMS; AND CONSOLIDATION IS FOUND TO BE UNENFORCEABLE AS TO A PARTICULAR CLAIM OR WITH RESPECT TO A PARTICULAR REQUEST FOR RELIEF (SUCH AS A REQUEST FOR INJUNCTIVE RELIEF), THEN THE PARTIES AGREE THAT SUCH A CLAIM OR REQUEST FOR RELIEF SHALL BE DECIDED BY A COURT AFTER ALL OTHER CLAIMS AND REQUESTS FOR RELIEF ARE ARBITRATED. Notwithstanding the foregoing, either party retains the right to have a dispute heard in small claims court provided the dispute falls within the jurisdictional limits of that court and otherwise qualifies for that court, seeks individualized relief, and so long as the action remains in that court and is not removed or appealed to a court of general jurisdiction.

GOVERNING LAW, JURISDICTION AND VENUE: THE GIVEAWAY AND THESE OFFICIAL RULES SHALL BE EXCLUSIVELY GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE INTERNAL LAWS OF THE STATE OF CALIFORNIA WITHOUT GIVING EFFECT TO ANY CHOICE OF LAW OF CONFLICT OF LAW RULES OR PROVISIONS THAT WOULD CAUSE THE APPLICATION OF ANY OTHER STATE’S LAWS.

SEVERABILITY: If the application of any provision of these Official Rules to any particular facts or circumstances shall for any reason be held to be invalid, illegal or unenforceable by a court or other tribunal of competent jurisdiction, then (a) the validity, legality and enforceability of such provision as applied to any other particular facts or circumstances, and the other provisions of these Official Rules, shall not in any way be affected or impaired thereby; and (b) such provision shall be enforced to the maximum extent possible. In addition, if any provision contained in these Official Rules shall for any reason be held to be excessively broad as to duration, geographical scope, activity or subject, it shall be construed by limiting and reducing it, so as to be enforceable to the extent compatible with applicable law.
